Terms and Conditions

Please read all these Terms and Conditions.

As we can accept your Order and make a legally enforceable agreement without further reference to you, you must read these Terms and Conditions to make sure that they contain all that you want and nothing that you are not happy with. Application

These Terms and Conditions will apply to the purchase of the Goods by you (the Customer or you). We are Circle Stock Ltd, a company registered in England and Wales under number 13404153, whose registered office is at Unit D4 Segensworth Business Centre, Fareham, Hampshire, PO15 5RQ, with email address info@circlestock.com and telephone number 0203 955 9660 (the Supplier, us or we).

You can only purchase the Goods from the Website if you are eligible to enter into a Contract and are at least 18 years old.

Interpretation

  • Customer means an individual acting for purposes which are wholly or mainly outside their trade, business, craft or profession.
  • Contract means the legally binding agreement between you and us for the supply of the Goods.
  • Delivery Location means the Supplier’s premises or other location where the Goods are to be supplied, as set out in the Order.
  • Durable Medium means paper, email or any other medium that allows information to be addressed personally to the recipient and stored for future reference.
  • Goods means the goods advertised on the Website that we supply to you as described in the Order.
  • Order means the Customer’s order for the Goods from the Supplier submitted via the Website.
  • Privacy Policy means our terms on how we handle personal information.
  • Website means our website www.circlestock.com.

Goods

  • Goods are described on our Website, catalogues or other advertisements. Descriptions are for illustrative purposes and may vary slightly in size or colour.
  • Where Goods are made to your specifications, it is your responsibility to ensure the accuracy of the information you provide.
  • All Goods are subject to availability.
  • We may make changes to comply with laws or safety requirements and will notify you accordingly.

Personal Information and Registration

  • To register, you must create a username and password and are responsible for keeping them secure.
  • We process all personal data in accordance with our Privacy Policy.
  • You agree to us contacting you via electronic methods or post.

Basis of Sale

  • Descriptions on the Website do not constitute contractual offers.
  • The ordering process allows for corrections before submission.
  • A Contract is formed when you receive an Order Confirmation by email.
  • You must review the Order Confirmation and notify us of any errors immediately.
  • No variation to the Contract is valid unless agreed in writing.
  • If you are not a consumer, you must inform us so appropriate terms can be issued.

Price

  • Prices exclude VAT, other taxes, and delivery/packaging charges unless stated otherwise.
  • Price may change before delivery due to factors beyond our control (e.g. exchange rates, material costs).
  • All increases will be communicated in advance.
  • Discounts may be applied at our discretion.

Payment

  • We may invoice before, on, or after delivery.
  • Online orders require immediate payment via credit or debit card.
  • Direct orders follow agreed credit terms.
  • Payments must be made in GBP, EUR or USD unless otherwise agreed.
  • Late payments incur 8% interest above the Bank of England base rate.

Shipping and Damaged Goods

  • Supplier shipping: We assume liability for damage in transit. Report within 14 days.
  • Customer shipping: You assume all liability once the Goods are handed over.
  • Inspection on delivery is advised.
  • We will package Goods properly and provide necessary documents for claims.

Delivery

  • Delivery address must be specified in the Order or agreed in writing.
  • If you fail to accept delivery, we may charge for storage and redelivery.
  • Delivery times are estimates and not guaranteed.
  • Each instalment of an order is treated as a separate contract.

Returns

  • Inspect Goods on delivery.
  • Report damages/shortages in writing within 14 days with supporting evidence.
  • Returns accepted only if Goods are proven defective.
  • Costs for return due to damage/incorrect items will be borne by us.
  • We are not liable if Goods are used or handled improperly post-delivery.

Risk and Title

  • Risk transfers to you upon delivery.
  • Title remains with us until full payment is received.

Cancellation Rights

  • You may cancel within 7 days of entering the Contract unless Goods are made to specification.
  • Notification of cancellation must be in writing.
  • Goods must be returned within 7 days of cancellation. You cover return costs unless otherwise agreed.
  • Refunds will be issued within 14 days of return, excluding original delivery costs.

Warranties and Conformity

  • Goods will be:
    • Of satisfactory quality
    • Fit for the purpose you informed us of
    • As described
  • We are not responsible for defects arising from your materials or misuse.

Limitation of Liability

  • We are not liable for indirect, incidental, or consequential losses.
  • Our total liability for any claim shall not exceed the amount paid for the Goods in question.
  • Nothing limits our liability for death or personal injury caused by negligence.

Intellectual Property

  • All trademarks, designs, and content remain our property.
  • You may not use or reproduce our intellectual property without permission.

Circumstances Beyond Our Control

  • Neither party is liable for delays caused by events beyond reasonable control (e.g. strikes, natural disasters).
  • We will notify the other party and act reasonably to mitigate the effect.

Dispute Resolution and Governing Law

  • These Terms are governed by the laws of England and Wales.
  • Disputes will be subject to the exclusive jurisdiction of the English courts.

Amendments

  • We reserve the right to amend these Terms. Updates will be posted on our Website.
  • Continued use of our services after changes constitutes acceptance of the revised Terms.
